Job Purpose:
BTIG is seeking a Capital Markets Operations Associate / Vice President focused on securities transfers and transaction settlement in support of Capital Markets activity and trading. This role is responsible for the end-to-end management of transfer workflows—primarily DWAC and DRS transfers—to ensure timely, accurate settlement of transactions across issuers, transfer agents, clearing firms, clients, and internal stakeholders.
The position requires deep familiarity with restricted securities processing, documentation standards, and close coordination with issuer and fund counsel to facilitate settlements. The role also supports critical “flow of funds” coordination for Capital Markets transactions, wire transfer authorization workflows for Venture Capital and Private Equity trading clients, and related clearing firm journals and settlement support.
Duties & Responsibilities:
DWAC / DRS Transfers – Primary Ownership
- Own the operational processing and oversight of DWAC (Deposit/Withdrawal at Custodian) and DRS (Direct Registration System) transfers for all Capital Markets transactions and trading-related settlement.
- Manage transfer timelines and status tracking end-to-end; identify and resolve breaks and escalations to protect settlement dates.
- Coordinate transfer initiation, approvals, and delivery requirements across internal teams, clearing firms, and transfer agents.
Transfer Agent Relationship Management
- Serve as the primary point of contact for transfer agents, maintaining strong working relationships to facilitate efficient processing.
- Manage service expectations and escalation paths with transfer agents; ensure consistent communication and accountability on aged items.
- Partner with internal stakeholders to standardize transfer workflows and documentation expectations by agent and security type.
Documentation Management for Securities Transfers & Restricted Stock
- Collect, review, and manage documentation required to process transfers and restricted securities, including (as applicable):
- Medallion Signature Guarantees
- Opinion letters
- Restricted stock / legend removal paperwork
- Corporate issuer instructions and supporting transfer documentation
- Ensure documentation packages are complete, accurate, and aligned with transfer agent and clearing firm requirements; drive resolution of NIGO items.
- Maintain organized, audit-ready records of transfer requests, approvals, and supporting materials.
Counsel Coordination (Issuer & Fund-Level) to Support Timely Settlement
- Liaise directly with corporate issuer counsel and fund-level counsel (VC/PE and other institutional clients) to ensure legal deliverables are coordinated and settlement timelines are met.
- Track open legal items impacting settlement (opinions, legends, representations, required forms) and drive to closure through proactive follow-up and escalation as needed.
Capital Markets “Flow of Funds” & Settlement Coordination
- Manage the flow of funds process for Capital Markets transactions, partnering with Operations and Finance to ensure appropriate cash movements, settlement readiness, and internal controls.
- Coordinate key settlement milestones and operational readiness across Capital Markets, Syndicate, Trading, Finance, and clearing firms.
Wire Transfer LOA Process (Venture Capital / Private Equity Trading Clients)
- Administer and control the wire transfer LOA (Letter of Authorization) process for VC and PE trading clients, including intake, validation, and routing per firm policy and required approvals.
- Ensure wire instructions are handled with strong controls and documentation discipline; coordinate with Finance/Operations for timely execution.
Clearing Firm Journals & Settlement Requests
- Process and track journal requests with BTIG’s clearing firms in support of settlement and client servicing needs.
- Investigate and resolve journal-related breaks, mismatches, or timing issues impacting settlement or client positions.
Ongoing Restricted Stock Settlement Management
- Own ongoing restricted stock settlement workflows, liaising with clients, clearing firms, and transfer agents to ensure timely delivery and receipt of securities.
- Monitor aged restricted settlements, proactively identify bottlenecks, and drive resolution to reduce settlement risk and improve client experience.
Affiliate Sales Support – Rule 144 and Broker Representation Letters
- Prepare and coordinate Rule 144 filings for affiliate sales, ensuring accurate collection of required information and timely submission support (consistent with firm process).
- Draft and manage Broker Representation Letters for affiliate and prospectus sales, coordinating with clients, counsel, and other stakeholders to complete execution and delivery requirements.
Controls, Risk Management & Process Improvement
- Maintain a strong control mindset across transfers, wires, and settlement activities, including documentation retention and escalation of exceptions.
- Identify operational risks (e.g., incorrect wire instructions, missing transfer documentation, delayed legal deliverables, settlement fails) and implement preventive controls and standardized workflows.
- Track volumes, cycle times, aged items, and recurring breaks; propose process enhancements to improve throughput and reduce risk.
- (VP-level) Mentor junior team members and lead improvements across transfer agent management, restricted stock processing, and settlement governance.
Requirements & Qualifications:
- Bachelor’s degree or equivalent relevant experience.
- Experience in securities operations with direct exposure to settlement and/or securities transfers; comfort managing time-sensitive, high-touch workflows.
- Strong understanding of DWAC/DRS concepts and the practical processing requirements across transfer agents and clearing firms (or demonstrated ability to learn quickly).
- Demonstrated ability to manage complex documentation requirements with excellent attention to detail.
- Strong written and verbal communication skills, including the ability to coordinate across clients, counsel, transfer agents, clearing firms, and internal stakeholders.
- High ownership, sound judgment, and a strong operational risk and controls mindset.
Preferred
- Prior experience managing restricted stock settlements and documentation (opinions, medallions, legend/restriction processing).
- Familiarity with Rule 144 processing support and broker representation documentation workflows.
- Experience supporting Capital Markets transaction settlement and cash movement coordination (flow of funds).
- Proficiency with Excel and comfort working across internal workflow tools and clearing firm platforms.

Compensation:
- BTIG offers a competitive compensation and benefits package. Salary range is based on a variety of factors including, but not limited to, location, years of applicable experience, skills, qualifications, licensure and certifications, and other business and organization needs.
- The current estimated base salary range for this role is $170,000.00 - $230,000.00 per year. Please note that certain positions are eligible for additional forms of compensation such as discretionary bonus or overtime.
